Apply now MAIN PURPOSE OF ROLE: Reporting to the Head of Legal, this person will be accountable for developing a strong culture of compliance and governance within CTIL advising the business on all key aspects of legal and regulatory compliance. To ensure overall compliance by CTIL with competition law as part of the new Beacon 2 arrangements working with the shareholder Compliance teams to drive the right behaviours and ensure information sharing occurs in a way that is consistent with the law and our legal framework. This person will also act as the assistant Company Secretary to the CTIL Board assisting the General Counsel with the CTIL Board process as well as have responsibility for all governance queries under the Beacon arrangements. Finally, the role will have accountability for all key compliance policies/projects and deliver all relevant training to the business working closely with the Assurance, Safety and Risk team. KEY RESPONSIBILITIES: Information Sharing/Competition: Overall responsibility for CTIL compliance with competition law (information sharing) under our joint venture protocols.Implement robust and effective controls to ensure that information sharing occurs in a manner that is consistent with competition law requirements. Ensure that those controls are regularly reviewed and monitored to maintain effectiveness and fitness for purpose. Raise awareness of our information sharing requirements with all relevant business teams providing advice and support where necessary. Deal with any reported issues or breaches of information sharing rules working with the shareholder Compliance teams. Assistant Company Secretary: Act as the assistant company secretary to the General Counsel providing support on all aspects of the CTIL Board process. This will include having responsibility for all template Board documents, reviewing and approving draft Board papers, assisting with preparation of Board minutes and ensuring all relevant governance is adhered to. Compliance & Security: Overall responsibility (working with the Head of Legal) to develop and maintain an annual programme of Compliance and governance training/knowledge sharing to help build a strong culture of compliance within the business. To provide support to - and work with as necessary - the Assurance, Safety and Risk team on matters relating to health and safety, environmental, business continuity and information security arrangements to ensure that the business continues to meet its BSI requirements. Data Privacy: To provide support to - and work with as necessary - the Chief Information Officer and other teams in the business to ensure that we are compliant with Data Protection laws and to help build a strong culture around the handling/management of personal data promoting privacy by design. Policies and Training: To have responsibility for the provision of compliance training (including e-learning modules) and day to day advice to enable CTIL to comply with its legal and regulatory obligations with emphasis on competition law, anti-bribery and data privacy. To have accountability for, and the ownership of, maintaining and developing all key compliance policies owned by the Legal and Compliance team. Stakeholder Engagement: To work closely with the Compliance Specialists within the shareholder Compliance teams on issues relating to competition law/information sharing including the ongoing review of relevant e-learning modules. To work with the Head of Legal to continue to build strong working relationships with the Compliance teams generally to ensure alignment and share knowledge/best practice. To build strong relationships with key internal teams to identify areas for support, raise awareness and manage ongoing risks. Innovation and Change: To monitor and identify areas for improvement in the CTIL compliance regime. Be responsible for scanning the horizon to alert the business to regulatory or other legal changes. To lead positive cultural change to bring compliance and governance closer to the top of the business agenda and increase awareness amongst employees generally of key obligations and behaviours. Risks and Issues: Ensure proper management of the CTIL compliance regime including, where necessary, working closely with CTIL external law firms to minimise risks and protect the reputation of CTIL and the shareholders. Work with the Head of Legal and other members of the Senior Leadership Team - to manage and oversee the Corporate Risk Register. Company Scorecard: To work with the Head of Legal and other key Leadership Team stakeholders to deliver functional and company objectives in line with the company scorecard. Contribute and regularly review each element of the Legal functional objectives to ensure that these remain relevant to the CTIL business plan and on target.
